These terms and conditions ("Agreement") govern the provision of consultancy services by the clinic consultancy firm ("Consultant") to the client ("Client"). By engaging the services of the Consultant, the Client agrees to be bound by the following terms and conditions:

Scope of Services:

The Consultant shall provide consultancy services related to clinic management, operations, and improvement, as agreed upon by both parties.

The specific services to be provided, including deliverables, timelines, and fees, shall be outlined in a separate agreement or statement of work.

Consultancy Fees and Payment:

The Client shall pay the Consultant the agreed-upon fees for the consultancy services provided.

Payment terms, including the schedule and method of payment, shall be specified in the separate agreement or statement of work.

The Consultant reserves the right to suspend or terminate services if payment obligations are not met by the Client.

Confidentiality:

Both parties shall maintain the confidentiality of any proprietary or confidential information disclosed during the course of the consultancy engagement.

The Consultant shall not disclose the Client's confidential information to any third parties without the Client's explicit consent, unless required by law.

Intellectual Property:

Any intellectual property created or developed by the Consultant during the course of the engagement shall remain the property of the Consultant, unless otherwise agreed upon in writing.

The Client shall not use or reproduce the Consultant's intellectual property without the Consultant's explicit written consent.

Liability and Indemnity:

The Consultant shall provide consultancy services to the best of their abilities and in accordance with industry standards.

The Consultant shall not be liable for any direct, indirect, incidental, or consequential damages arising out of or related to the services provided.

The Client agrees to indemnify and hold the Consultant harmless from any claims, losses, or damages arising from the Client's use of the consultancy services.

Termination: a. Either party may terminate this Agreement with written notice to the other party. b. In the event of termination, the Client shall pay for the services rendered up to the termination date.

Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].

Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, or representations, whether written or oral.

By engaging the services of the Consultant, the Client acknowledges that they have read, understood, and agreed to abide by these terms and conditions.
